1. Introduction

Larkenshaw (“Larkenshaw”, “we”, “us” or “our”) is a private UK property-demand network that connects people interested in property with homeowners and participating estate agents before a property is publicly marketed.

These Terms & Conditions (“Terms”) govern your access to and use of the Larkenshaw website, mobile application and related services (together, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

These Terms apply to all users of the Service, including buyers, homeowners, estate agents and any other visitors. Certain features may be subject to additional terms or conditions, which will be made clear at the point of use.

2. About Larkenshaw

Larkenshaw is a technology platform designed to connect people interested in property with homeowners and participating estate agents. The Service facilitates property discovery, expressions of interest, anonymised demand information and connections between users, homeowners and estate agents.

Larkenshaw is not itself a seller, buyer, landlord, estate agent, property solicitor, financial adviser, surveyor or professional valuer unless explicitly stated. We do not market property on behalf of sellers, and we do not participate in or control any property transaction between users.

3. Eligibility and Accounts

To create an account, you must be at least 18 years of age and legally capable of entering into binding contracts. You agree to provide accurate, current and complete information during registration and to keep that information up to date.

You are responsible for maintaining the security of your account, password and any activity that occurs under your account. You must notify us promptly of any unauthorised use or security breach.

We reserve the right to suspend or terminate any account that breaches these Terms, that is used unlawfully, or that we reasonably believe is causing harm to the Service or other users.

4. Using Larkenshaw

You agree to use the Service lawfully and in good faith. You must not provide misleading, fraudulent or unlawful information, or use the Service for any unlawful purpose.

You must not:

  • misuse the platform or attempt to circumvent any security controls;
  • scrape, copy or extract data from the Service by automated means;
  • spam, harass or otherwise interfere with other users;
  • introduce viruses, malware or other harmful code; or
  • interfere with or disrupt the Service or its supporting infrastructure.

5. Property Information

Property information displayed on the Service may come from users, homeowners, estate agents and third-party or public sources. We do not guarantee that property information is complete, accurate, current or error-free.

You should independently verify any important property information before making decisions. Larkenshaw accepts no responsibility for decisions made in reliance on property information displayed on the Service.

6. Property Interests and Demand

Expressing an interest in a property through Larkenshaw indicates that you would like to be kept informed about that property or area. It does not constitute an offer to purchase, and it does not create any contractual obligation to buy, sell or proceed with a transaction.

Where applicable, homeowners may receive anonymised information about the level of demand for their property. This information is aggregated and does not identify individual interested parties unless a user has separately consented to share their contact details.

7. Private Sales

Larkenshaw may allow homeowners to indicate that they are open to exploring a private sale outside of the traditional open-market process. This is an expression of willingness only and does not guarantee that a transaction will occur.

Any eventual sale remains subject to the agreement of the parties involved and the normal legal property transaction process. Larkenshaw is not a party to any such transaction and accepts no responsibility for its outcome.

8. Estate Agents

Participating estate agents may use Larkenshaw to identify property opportunities, understand buyer demand and manage properties within their portfolio, subject to a subscription or other arrangement with Larkenshaw.

Estate agents remain responsible for their own professional services, representations and dealings with their customers. Larkenshaw does not guarantee the conduct, performance or suitability of any individual estate agent, and any engagement of an estate agent is solely between you and that agent.

9. AI-Generated Information

Larkenshaw may use artificial intelligence to generate insights, summaries, recommendations or other information about properties and demand. AI-generated information may be incomplete, inaccurate or incorrect.

AI insights are provided for informational purposes only and should not be treated as professional, legal, financial, property or valuation advice. You should independently verify important information before relying on it.

10. Property Valuations and Estimates

Where Larkenshaw displays estimated property values or similar figures, these are estimates generated from available data and are not formal valuations. They do not constitute a surveyor’s or professional valuer’s opinion.

If you require a formal valuation, for example for mortgage, legal or tax purposes, you should obtain independent professional advice from a qualified valuer or surveyor.

11. Third-Party Services and Information

Larkenshaw may rely on third-party services, data providers, mapping services, property information sources and other external systems to deliver the Service. We cannot guarantee the availability, accuracy or continued operation of these third-party services.

We are not responsible for the content, accuracy or practices of any third-party service, and your use of any third-party service is subject to its own terms.

12. Fees and Subscriptions

Certain Larkenshaw functionality may be available free of charge, while other functionality, including estate agent subscriptions, may require payment. Where a fee applies, the relevant fees and subscription terms will be displayed before you commit to a purchase.

Subscriptions may renew automatically at the end of each billing cycle unless cancelled in accordance with the instructions provided. You may cancel a subscription at any time; access will continue until the end of the current paid period. Refunds are handled in accordance with our cancellation and refund policy displayed at the point of purchase, and we reserve the right to change pricing on reasonable notice.

13. Intellectual Property

The Larkenshaw name, logo, branding, software, website, design, content and other intellectual property are owned by or licensed to Larkenshaw. You must not copy, reproduce, distribute or otherwise misuse our intellectual property without our prior written consent.

You retain ownership of content you submit to the Service. By submitting content, you grant Larkenshaw a non-exclusive, royalty-free licence to use, host, store, reproduce and display that content to the extent reasonably required to operate and provide the Service.

14. User Content

You are responsible for any content or information you submit to the Service, and you must have the necessary rights to submit it. You must not submit content that is unlawful, defamatory, infringing or otherwise objectionable.

We may remove or restrict content that breaches these Terms or applicable law, and we may take action against accounts responsible for such content.

15. Privacy and Personal Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use and protect your personal data.

To the maximum extent permitted by law, Larkenshaw accepts no liability for any indirect, incidental or consequential loss arising from your use of the Service.

Larkenshaw is not responsible for decisions you make based on property information, AI-generated information or third-party information displayed on the Service. Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable UK law.

18. Indemnity

You agree to indemnify and hold Larkenshaw harmless from any claims, losses, damages or expenses (including reasonable legal costs) arising from your unlawful use of the Service or your breach of these Terms.

19. Termination

You may stop using Larkenshaw at any time. You may close your account by contacting us through the Service.

We may suspend or terminate your account at any time, with or without notice, where you breach these Terms, where we are required to do so by law, or where we reasonably believe that your conduct is harmful to the Service or other users.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
